국문 초록

본 연구는 구조화 금융계약(상품)의 특성을 살펴보고 구조화 과정에서 발생한 윤리적 문제점에 대해서 살펴본다. 구조화의 효과는 수요층의 니즈에 따라 다르게 나타나는데, 비금융전문가를 대상으로 하는 구조화는 계약(상품)의 복잡도를 증가시켜 정보비대칭성을 증폭시키며, 전문투자자(기업)을 대상으로 하는 구조화는 터널링 등을 비롯한 불공정계약의 채널로서 이용될 수 있다. 이렇게 금융의 구조화는 이용양태에 따라 다른 효과를 유발시킬 수 있으며, 궁극적으로 금융회사의 윤리이슈와 결부될 수밖에 없다. 본 연구에서는 비금융전문가를 대상으로 하는 구조화상품(KIKO, 파생결합증권)과 전문투자자를 대상으로 하는 구조화계약(Total Return Swap)을 사례를 소개하고, 구조화 과정에서 발생한 문제점을 소개한다. 또한 수익으로서만 평가받는 금융업의 특성 상, 이러한 문제점을 해결하기 위해 필요한 금융윤리 강화방안에 대해서 제안한다.

영문 초록

This study examines the characteristics of structured financial contracts (products) and the ethical issues that arise in the structuring process. The effect of structuring varies depending on the needs of the demand group: structuring for non-financial professionals increases the complexity of contracts (products) and amplifies information asymmetry, while structuring for professional investors (corporations) can be used as a channel for unfair contracts such as tunneling. Financial structuring can have different effects depending on the way it is used, which ultimately leads to ethical issues for financial firms. This study introduces the cases of structured products (KIKO, ELS) targeting non-financial professionals and structured contracts (Total Return Swap) targeting professional investors, and introduces the problems that occurred in the structuring process. It also suggests ways to strengthen financial ethics in order to solve these problems due to the characteristics of the financial industry that is evaluated only in terms of profit.
