미국내 중국기업의 법적 쟁점과 전략에 대한 고찰

국문 초록

중국의 개혁개방정책이 시행된 이래로 중국기업들은 세계경제의 흐름에 따라 국제경제시장 경쟁에 뛰어들었다. 미국의 경제시장은 비교적 완전하고 장기간에 걸쳐 세계적인 선도적 위치를 점유해왔으므로 그동안 많은 중국기업들은 국제화 전략을 수립하고 미국에 진출하여 상장하는 등 어느 정도의 발전과 성과를 이뤄냈다. 그러나 미국정부는 중국기업이 재무조작이나 국가안보위협 등과 같은 현지 법률을 위반했다는 명목으로 미국내 성장중인 수많은 중국기업들의 경영을 제한하였고, 심한 경우 미국에서 퇴출하기도 하였다. 이렇듯 현재 미국내에서 활동 중이거나 상장된 중국기업들은 전례 없는 여러가지 문제에 직면하고 있다. 이 연구에서는 미국내 중국기업의 성장배경과 현황, 직면한 문제점 및 이를 해결하기 위한 전략적 방안에 대하여 논의하였다. 특히, 국가안보위협 등을 이유로 기업활동을 제한하는 미국의 전략에 대해서 자세히 다루었다. 또한, 도출된 결과물을 토대로 중국기업 경영자들이 부정적인 현실을 직시하고 부위정경(扶危精傾)하여 사내 법률팀 구성과 인재 유치를 위해 적극적으로 노력하는 등 국제 법률의식 제고에 힘쓰는 등의 대책을 강구하는 흐름에 대하여도 자세히 논하였다. 갈수록 난해해지는 미국시장에 대응하기 위한 방안으로서 중국기업 대상의 법률 자문 서비스 및 변호사 서비스 제공 목적의 국제화 플랫폼, 전문 자문기관 및 법률 서비스 기관을 조속히 구축하는 등의 활로 개척은 중국뿐 아니라 유사한 제재에 직면할 수 있는 여타 외국 기업들에게도 적용 가능한 방안들이다. 특히, 국가안보위협을 이유로 기업활동을 제한하는 등의 내용은 범죄학적인 견지에서도 관심있게 살펴볼 수 있는 사안이다. 이렇게 중국기업의 미국시장 진출에서의 문제점과 활로 개척을 위한 정책적인 방향을 짚어주는 본 논문은 한국기업들이 미국에서 활로를 찾는데 도움이 되는 시사점을 줄 수 있을 것으로 기대된다.

영문 초록

Since the implementation of China's reform and opening-up policy, Chinese enterprises have made up their strategies to be internationalized. They followed the general trend of economic globalization, and joined the international economic market competition. Due to the relatively complete economic market situation in the United States and its long-term leading position in the world, many Chinese enterprises have formulated international strategies and selected to be listed in the beauty fair and have made certain achievements. However, the government of the United States imposed restrictions on the operation of many Chinese enterprises in the United States and even drove them out of the country based on the legal issues, such as financial fraud and threats to national security. Now, Chinese enterprises operating in the United States are facing unprecedented problems. This paper makes a preliminary discussion on the reasons, current situations, problems and solutions of the development of Chinese enterprises in the United States. Our analysis show that Chinese enterprise managers can face up to difficulties, turn crises into opportunities, strive to improve their legal awareness of internationalization, and actively prepare for the establishment of legal teams and attract international talents to cope with the increasingly complex American market. Our analysis also show that China is urgently moves to establish international platforms, think tanks and legal service institutions to provide legal advisory services and lawyer services for the development of Chinese enterprises in the United States. China’s strategies to cope with America’s corporate sanctions provide helpful insights to Korean government and companies in the United States for their methods to cope with restrictive policies.
