신종금융상품 거래에 따른 과세 이슈에 관한 연구

국문 초록

최근 다양한 신종금융상품의 출현으로 인하여 과세관청과 납세자 간에 분쟁이 끊이지 않고 있다. 점차 고도화되고 복잡해져가는 신종 금융상품 거래에 따른 과세이슈가 새롭게 부각되고 있는 상황이다. 파생결합상품에 대한 신종금융상품에 대한 과세 분쟁은 더욱 커지고 있는 상황이다. 본 연구는 이러한 상황을 감안하여 최근 신종금융상품 거래에 따른 과세상의 이슈로 주식워런트증권(ELW：Equity Linked Warrant. 이하 ‘ELW’라 함)의 분쟁사례를 들어 과세상의 문제점과 과세이슈의 해결방안을 모색해보고자 하는 것이다. 과세관청과 외국계 증권회사 간 약 1,000억 원 규모의 과세분쟁이 최근 이슈가 되고 있다. ELW 거래를 함에 있어서 유동성공급업자인 외국계 증권회사에 현행 금융상품 평가손익의 회계처리와세무처리의 차이로 인하여 세무조사 과정에서 불가피하게 법인세가 부과된 것이다. 이러한 사례는신종금융상품 거래를 함에 있어 현행 세법이 급변하는 금융시장의 변화에 신속하게 대응하지 못하고 있는 것이다. 본 연구의 사례는 사전에 예상하지 못했던 막대한 세금이 부과된 것으로써 조세위험에 노출된 것으로 볼 수 있다. 향후 이러한 조세위험이 발생하지 않도록 제도적인 보완이 필요하다 하겠다. 본연구에서 주장하는 바는 다음과 같다. 주식워런트증권의 거래에 있어 필연적으로 발생하는 현행 회계제도와 세무처리방식의 괴리로 인하여 발생할 수밖에 없는 구조적인 문제점을 감소시키기 위하여 금융자산의 평가손익을 세법에서도 인정하도록 할 필요가 있다. 본 사례에서 살펴본 바와 같이양 회계기간에 전체적인 이익은 없음에도 불구하고 기간귀속에 따른 평가손익을 세법상에서 인정하지 아니하여 가산세가 부과된 것으로 이러한 과세조치는 시급히 개선되어야 할 것이다. 본 연구에서는 과세관청과 납세자 간 조세분쟁의 해결책을 파악해보고 신종금융상품 거래에 따른 과세상의 이슈 및 금융시장에 미치는 영향에 대하여 살펴보고 주식워런트증권(ELW)의 분쟁이 재발하지않도록 현행 세법상의 문제점과 개선방안에 대해 살펴보았다는 점에서 의의가 크다고 하겠다.

영문 초록

At the time when financial products are becoming ever more sophisticated and complicated, the recent emergence of copious new financial products has engendered seemingly unending disputes between the taxing authorities and taxpayers. In light of such magnifying disputes, this paper seeks to highlight a case of tax dispute involving Equity Linked Warrant (ELW) so as to explore issues raised in the dispute as well as potential solution for those issues. A taxation dispute sized around hundred billon won between the taxing authorities and foreign securities companies has recently been made an issue. In short, the foreign securities companies were imposed corporate tax upon being audited because there were discrepancies in how the companies, as liquidity providers of ELW, reported profit and loss of their financial products through their management of accounting and tax affairs. This case highlights the inability of the existing tax law to deal with rapid changes in the financial market. This case involving a large sum of levied taxes has larger implications in that growing number of financial companies are now finding themselves exposed to unexpected tax risk, and it seems necessary that institutional countermeasures aimed to prevent further tax risks be implemented. The paper recommends that, in order to reduce structural issues caused by discrepancies between current accounting practices and management of tax affairs in documenting ELW trades, the government recognize profit and loss of companies’ financial assets. As highlighted in this case, surtax levied as a result of the government not recognizing accrual basis of accounting in situations where companies saw no profit during an accounting period should be addressed quickly. This paper, by recognizing in depth causes of disputes between the taxing authorities and taxpayers, exploring the ways through which tax issues related to new financial products can affect the overall financial market, and shedding light on problems and potential improvement of the current tax law, should serve as a meaningful contribution to suggest how disputes over ELW can be addressed.
