이사회 내 사회적 연결관계는 주가급락위험에 영향을 미치는가?

국문 초록

본 연구는 경영자와 사외이사 간 사회적 연결관계가 주가급락위험에 미치는 영향을 살펴보았다. 주가급락이란 기업내부에 악재가 누적되다 한계점에 도달하는 경우 악재가 한꺼번에 시장에 쏟아져 나옴으로써 주가가 급격히 하락하는 현상을 의미하며, 경영자가 사익을 추구할 목적으로 부정적인 정보를 자본시장에 적시에공시하지 않기 때문에 발생한다. 한편, 이사회의 독립성을 제고하기 위하여 사외이사제도를 의무화하였으나, 사외이사가 본연의 기능을 충실히 수행하고 있는지에 대한 실효성 논란이 제기되어 왔다. 사회적 연결관계가있는 사외이사를 선임하는 경우 이사회의 형식적 독립성을 갖추더라도 실질적 독립성이 결여되어 감시기능이 약화된다는 것이다. 실증분석결과, 경영자와 사외이사 간 사회적 연결관계가 강할수록 주가급락위험이증가하는 것으로 나타났다. 이는 사회적 연결관계가 있는 사외이사를 선임하는 경우, 이사회가 자본시장에서독립적인 감시기구로서의 역할을 원활히 수행하지 못함을 나타낸다. 본 연구는 주주의 가치를 제고하기 위해사외이사들의 실질적 독립성이 담보되어야 함을 주장한다는데 정책적 시사점을 제공한다.

영문 초록

This study examined the effect of the social tie between managers and outside directors on the risk of stock price crash. Stock price crash refers to a sharp drop in stock prices as unfavorable factors accumulate inside the company and reach their limits, and occurs because managers do not disclose negative information to the capital market in a timely manner to pursue private interests. The outside director system was introduced after the IMF crisis in Korea to enhance the independence of the board of directors. However, controversy has been raised over the effectiveness of whether outside directors are faithfully performing their original functions. In the case of appointing an outside director with a social tie, even if the board of directors has independence in appearance satisfying the legal requirement, the monitoring function can be weakened because of informal relationships among board members. The results of empirical analyses show that the stronger the social tie between managers and outside directors, the higher the risk of a stock price plunge. This result indicates that when an outside director with a social connection is appointed, the board of directors cannot effectively perform its role as an independent monitoring body in the capital market. This study provides useful information and policy implications to investors and regulators in that independence of outside directors should be carefully monitored by considering social tie among board members to enhance the value of shareholders.
