포장당 책임제한제도에 있어 선적단위의 해석

국문 초록

우리나라는 상법 제797조에서 포장 또는 선적단위를 토대로 한 운송인의 개별적 책임제한제도를 인정하고 있으며, 세계적으로 이용되는 헤이그-비스비 규칙 역시 포장 또는 단위(unit)를 기초로 한 개별적 책임제한제도를 인정하고 있다. 그런데 컨테이너의 도입과 단위운송방식이 활용되면서 포장과 선적단위를 어떻게 해석할 것인가가 문제가 되었다. 특히 우리나라에서는 포장에 관하여는 대법원 판결을 통하여 어느 정도 해석이 구체적으로 확립되었다고 볼 수 있으나, 선적단위에 관하여는 아직까지 해석이 확립되지 않은 것으로 보인다. 이러한 점에서 헤이그-비스비 규칙 제4조(5)(c)의 선적단위의 해석이 쟁점이 된 호주의 El Greco v MSC 판결과 영국의 The Aqasia호 판결, Maersk v Kyokuyo 판결은 우리나라 상법 제797조의 선적단위를 해석함에 있어 중요한 시사점을 갖는다 할 것이다. 특히 영국의 항소법원은 최근 선적단위의 개념을 좁게 해석한 호주 법원의 판결을 따르기 거부하고 선적단위를 폭넓게 해석하는 입장을 취하는 판결을 연이어 내렸다. 호주 판례의 경우 선하증권 기타 운송증권에 기재된 화물의 포장 내지 분류 방식 및 그에 따른 화물의 수를 기초로 선적단위의 수를 판단하기 때문에, 운송증권에 화물의 포장 내지 분류 방식이 다소 부실하게 기재될 경우 그로 인한 위험이 화주 측에 전가될 가능성이 높다. 하지만 영국 판례의 경우 이와 같은 기재가 없더라도 컨테이너 자체를 하나의 단위(unit)로 보는 것이 아니라 컨테이너에 적입된 화물의 물리적인 개수에 따라서 선적단위로 판단하고 있어 호주 판결보다 화주 보호에 적합하며, 우리 상법의 입장과도 부합한다고 생각된다. 한편, 우리나라 하급심 판결들도 최근 영국 판결들의 입장과 마찬가지로 선적단위를 화물의 물리적인 단위로 판단하고 있어 향후 우리나라 대법원에서 선적단위의 해석이 문제될 경우 위 하급심 판결들과 더불어 영국 판례의 해석이 유용하게 활용될 수 있을 것으로 판단된다.

영문 초록

Article 797 of the Korean Commercial Act recognizes the carrier s limitation of liability based on the concept of package and shipping unit. Article 4 of the Hague-Visby Rules, which is widely applied in shipping practice, also recognizes a similar regime with regard to the carrier s limitation of liability. Due to the introduction of containers and the Unit Load System in the shipping business, the interpretation of “package” and “(shipping) unit” has become an important legal issue in the world. In particular, the interpretation of “package” in Article 797 of the Korean Commercial Act seems to be established through a Supreme Court Decision in 2004. However, the concept of shipping units has not established yet in Korea. In this regard, the Australian court case El Greco v MSC and the recent English court cases, The Aqasia and Maersk v Kyokuyo, will likely have a significant impact on the interpretation of the Korean Commercial Act. In El Greco v MSC, the Australian court held that units in r. 5(c) of the Hague-Visby Rules would be calculated upon the manifestation of how the cargo was made up for transport and how it was packed in the container in the bill of lading in question. In contrast, English courts in the above cases held that the words the number of packages or units enumerated in article IV, r. 5(c) meant no more than specifying the number of packages or units in words or numbers. Thus, English courts concluded that units must be calculated upon the number of pieces of cargo written in the bill of lading. On balance, considering the fact that cargo interests are likely to bear the risk of specifying cargo under the Australian court decision, the position of English courts towards the interpretation of “unit” seems to be more appropriate interpretation to be reflected in the article 797 of the Korean Commercial Act. Moreover, as Korean lower courts also rendered a couple of decisions interpreting a “shipping unit” in such an article as a physical piece written in the bill of lading, it seems probable that the interpretation of English courts will be a helpful guideline for Korean law in the future.
