위ㆍ수탁계약에서의 갈등요인과 해소방안에 관한 탐색적 연구

국문 초록

화물자동차운송사업에 있어 위ㆍ수탁경영방식은 보편적인 경영방식의 하나이다. 직영경영방식은 물동량의 변화가능성과 물동량 대비 화물자동차의 공급이 많은 화물운송시장의 특성상 시장에서 채택되지 못하고 있는 실정이다. 위ㆍ수탁경영방식은 계약상의 문제로 계약당사자인 화물자동차운송사업자와 위ㆍ수탁차주 간 많은 갈등관계를 가져왔다. 특히 금전지급 문제는 대표적인 갈등사례이나 이에 대한 논의와 연구는 찾아보기 어려운 실정이다. 따라서 본 연구에서는 위ㆍ수탁계약관계로 인한 권리금 및 관리비라는 금전지급 문제에 대해 관련법령과 선행연구, 그리고 사례를 토대로 분석한 후 화물운송사업자와 위ㆍ수탁차주의 계약상 갈등관계를 완화시킬 수 있는 개선방안을 제시하고자 하였다. 첫째, 권리금의 경우 보증금 제도로의 전환, 공식적 권리금 제도 마련, 그리고 화물자동차운송사업자의 제한적 권리금 수수 방안을 제시하였으며, 둘째, 관리비의 경우 현금납부 제도에서 카드납부 제로의 전환, 퍼센티지 관리비 제도 마련, 그리고 장기계약 시 일정기간 단위로 관리비 인상률을 적용할 수 있는 방안을 제시하였다. 이러한 논의는 화물자동차운송사업자와 위ㆍ수탁차주의 상생을 전제로 한 첫 출발점이라는 측면에서 연구의 의의가 있을 것으로 기대한다.

영문 초록

The entrustment of business management approach is one of the universal management methods for trucking transport business. Direct management is not being adopted in the market due to the possibility of change in freight volume and the nature of the trucking transport business market, which has a large supply of trucking vehicles compared to freight volume. The above-mentioned entrusted management method has a lot of conflicts between the trucking business operators, and the entrusted owner operators. In particular, the problem of money payment in entrustment contract is a typical case of conflict, and discussion and research on it are rare to find. Therefore, in this study, we analyze the problem of payment of money in entrustment contract, such as the premiums and administrative expense and then suggest the improvement plan which can reduce contractual conflicts between two party, based upon the related laws, precedent research and case. First, in the case of premiums, we propose a transition to a deposit system, a formal premiums payment system, and a way of receiving the limited premiums money of the trucking transport business. Second, in the case of administrative expenses, we propose the transition from the cash payment system to the payment of the card, the percentage management expenses system, and the application of the management fee increase rate for a long - term contract. This discussion is expected to be of significance in the sense that it is the first starting point on the premise that trucking business operators and entrusted owner operators based upon win-win of two party.
