지식재산권 담보물로서 저작권의 특수성

국문 초록

과거와 달리 기업을 창업하는데 유형의 자산 보다 무형의 자산, 즉 지식재산권을 기초로 하는 경우가 증가하고 있다. 이러한 창업 구조는 자금조달 측면에서 큰 장애를 갖는다. 이는 기존의 제도가 유형자산을 기초로 하는 체계이다 보니 지식재산권을 목적으로 담보 설정 등이 용이하지 않는 것이 원인 중 하나이다. 이러한 문제를 해결하기 위해 최근 몇 년간 지식재산권을 목적으로 하는 담보제도의 활성화를 위해 많은 제도개선에 대한 성과를 이루어 왔다. 그럼에도 불구하고 저작권을 목적으로 하는 담보제도는 여전히 그 활용이 저조한 실정이다. 본 연구에서는 이러한 현상을 지식재산권 담보제도가 저작권의 특수한 성질을 반영하지 못한 채 지식재산권을 포괄하여 규정화된 것을 원인으로 전제하였다. 이를 전제로 저작권을 담보로 활용하기 위해서 어떠한 문제들이 있는지 살펴보고 각각의 문제에 대한 해결방안을 모색해보았다. 지분권, 저작인격권의 존재 등 저작권의 구별되는 특징을 고려할 때, 컴퓨터프로그램의 버전 변경에 따른 담보 가치 변동 문제와 담보물의 명확성 확보에 관한 동산채권담보법 및 저작권법의 상이한 태도 문제, 확정된 담보물의 가치 보전과 당해 담보물의 안정적 활용을 위한 저작인격권의 제한 문제를 도출하여 해결 방향을 모색하였다.

영문 초록

Unlike in the past, enterprise establishment is increasingly based on intangibles, intellectual property rights, than tangibles. This structure of establishment is significantly handicapped in raising funds. As the existing system is based on tangibles, it is not easy to provide collateral for the purpose of intellectual property rights. To address these problems, many improvements have been made in the conventional system to invigorate the security system for the intellectual property rights in recent years. Nevertheless, the use of the copyright security system is still underutilized. The study is premised on the fact that the current system is stipulated by encompassing intellectual property rights without reflecting the particularity of copyrights. Under this premise, the study looks at the problems that exist to utilize copyrights as collateral and tried to solve each problem. In particular, there are problems with changing collateral due to version changes of computer programs, the difference in views on the effectiveness of copyright security registration in current regulations, and how to deal with author s moral rights.
