채권금융기관 자율협약을 통한 기업구조조정 사례 및 제도 개선방안

국문 초록

2010년대 들어 국내 조선업 등의 구조조정에서 자율협약의 형식을 취하는경우가 늘어났다. 자율협약이라는 제도의 명칭이 ‘자율’이고 사적 협약인 탓에일반적인 인식은 비교적 재무상태가 덜 나쁜 기업을 대상으로 강도가 약한 구조조정을 하는 것처럼 여겨지고 있다. 그러나 2010년대 대표적인 자율협약을통한 조선업 구조조정 사례인 성동조선해양과 STX조선해양의 구조조정 진행 경과를 살펴 보면 기업 경영진이나 채권단의 자율성이 존중된다고 보기 어렵다. 또한 재무상태가 상대적으로 좋은 기업에 자율협약이 적용된다고 하기도 어려웠다. 그럼에도 불구하고 자율협약 방식의 구조조정이 증가한 것은 기업에는 영업력 보전, 채권단에는 충당금 부담 완화라는 인센티브가 작동했기때문이다. 본 논문은 조선업 대상의 자율협약 사례분석을 통해 현행 자율협약 행태가유사 워크아웃(기업개선작업)에 그치고 있으며 일부 채권단이 리스크를 과도하게 부담하는 문제점, 채권단이 현상 유지에 치중하게 하는 잘못된 보상·처벌체계의 문제점 등을 도출하였다. 이를 바탕으로 기업과 채권단의 자율적인 사적 협약이라는 자율협약 본래의 의미를 살리고 자원배분의 효율성을 제고할구조조정 방법을 모색하고자 한다.

영문 초록

Since the global financial crisis, there has been an increase in the form of voluntary business normalization program(VBNP, autonomous agreement in Korean) in the restructuring of shipbuilding and other industries. Because VBNP is formally autonomous and private contract between the company and its creditors, it is perceived as a weak restructuring for companies with relatively less bad financial status. However when we look into thoroughly some VBNP cases such as STX Offshore & Shipbuilding and Sungdong shipbuilding & marine engineering, which were No. 4 and No. 5 shipbuiding company in their heydays, the autonomy of corporate executives was not respected much. It was also difficult to say that VBNP is for companies with relatively better financial conditions. Nonetheless, the increase in restructuring under the VBNP system is due to incentives for companies to preserve sales force, to avoid triggering clause, and to reduce burden on creditors. This paper points out that the current VBNP behavior is limited to a similar workout(prescribed by the Corporate Restructuring Promotion Act of South Korea) form. Some creditors have excessive risk burden, and creditors have wrong compensation and penalty system. Based on these points, we will seek the restructuring method that will enhance the efficiency of resource allocation by utilizing the original meaning of VBNP.
