지주회사 전환이 이익조정에 미치는 영향

국문 초록

우리나라는 외환 및 금융위기 이후 기업지배구조 개선을 통한 기업의 투명성과 회계정보의 신뢰성을 높이려는 목적으로 1998년 12월에 지주회사 설립ㆍ전환을 허용하였다. 하지만 과도한 경제력 집중을 막기 위해 부채비율 규제와 지분율 규제 등을 두었다. 그 이후 지주회사 전환이 기업의 이익조정을 감소시킨다는 연구가 있었으나 결과는 일치되지 않았다. 이는 표본이 극히 적었기 때문일 수도 있고, 지주회사 전환 효과를 측정하는 시점의 차이일 수도 있다. 본 논문은 선행연구보다 표본의 수를 늘여 지주회사가 도입된 2000년부터 2009년까지를 연구기간으로 설정하였다. 또한 지주회사 전환 효과를 측정하는 시점도 기간을 늘여가며 검증하였다. 분석결과, 지주회사 전환 기업의 전환 전과 전환 후를 비교하였을 때, 지주회사로 전환 된 기업과 그렇지 않은 기업을 비교하였을 때, 지주회사 전환으로 기업의 이익조정이 유의한 수준에서 감소한다는 결과를 나타내었다. 지주회사 전환 1년 전과 1년 후의 비교연구에서는 유의적이지는 않았지만, 지주회사전환 1, 2년 전과 1, 2년 후의 비교, 지주회사 전환 1, 2, 3, 4년 전과 전환 1, 2, 3, 4년 후의 비교에서는 뚜렷한 감소가 발견되었다.

영문 초록

The purposes of this paper are to build an empirically testable model to identify the relationship between corporate value and ownership structure , and to analyze this model empirically using the Korea Stock Exchange data and to test the effects of the IMF crisis. The analysis is based on the data for the period of 5 years from 1992 to 2010 and the samples are 277 firms. First, there is strong evidence of a curvilinear relation between the equity ratio of the largest blockholders and corporate value. This result supports the hypothesis of this study that there is managerial entrenchment hypothesis at low level of equity ownership and convergence of interest hypothesis at high level of equity ownership. Second, the result of analysis of the relation between the equity ratio of foreing investors and corporate value shows that the equity of institutional investors is positive and statistically significant at the level of 1%. Forth IMF crisis has positive influence on the relation between ownership structure and firm value.
