영문 초록

The existing Korean Commercial Code, which was amended in 2001, has introduced a new rule that permits a corporation to send the notice of a shareholders' meeting electronically to shareholders. It's article 363(1) provides that the notice for convocation of a shareholders' meeting shall be sent by a conventional paper or by an electronic document to each shareholder. However, the Code neither defines the concept of the "electronic document" nor makes clear when the document is sent. This study tries to explain the concept in a concrete way. The electronic document is a recordable and retrievable electronic data. The electronic notice is deemed to have been sent according to mail-box rule. To make the provision effective, some more preconditions should be met. First, the electronic notice should be used if the corporation and the shareholder agree. Second, the content and form of the electronic notice should be identical with that of paper notice. Finally, in the absence of professional negligence of the render, the corporation should be immune from liability in the non-delivery of the electronic notice.
