영문 초록

1. CONTENTS (1) RESEARCH OBECTIVES This study has focused on the structure and function of the limited joint-stock corporation. china's reformation was started from the government-owned-company in order to accomplish the economic innovation. The Goverment-owned-company was changed into a joint-stock corporation and a limited joint-stock corporation in order to complete separation of the ownership and management and the diversification of the means of fund raising. (2) RESEARCH METHOD theoretical anaysis : case study & research China civil law (3) RESEARCH RESULTS A board of directors has supervised and controled a manager under the mechanism of market economy. A board of directors which was elected by a general meeting of stockholders was a top power structure at china's civil law. A board of directors has represented the general meeting of stockholders and has supervised the execution of a decided plan. But the limited joint-stock corporation which was changed from the government-owned-company has been affected by government and government has effected on the formation of the board of directors and manager. So, the spervision function of the board of directors was reduces. 2. RESULTS The market-or\iented china's reformation was deepen, government's administrative interference for the management of company will be decreased and the function of the board of directors and the general meeting of stockholders will be expanded. 3.
