Surrender B/L을 이용한 한․중 해상화물 인도 방법의 문제점과 대안에 관한 연구

국문 초록

국제무역거래에서 “Surrendered B/L”은 선사로부터 선화증권 원본을 교부받은 화주가 그 원본 전부를 운송인에게 반환하고 “Nonnegotiable copy B/L” 1부만을 발급해줄 것을 요청하면, 이 요청 에 따라 선사가 선화증권 사본에 “Surrendered” 스탬프를 날인하여 발행해 주는 것이다. 이때 발행되는 “Surrendered B/L”은 B/L의 특성인 Negotiability(유통성, 양도성)이 거세됨에 따라 유통이나 양도를 할 수 없으며, 또 선사는 수화인이 자신의 선사에 “Original B/L” 원본 없이 “Surrendered B/L” 사본만 제출해도 화물을 양도한다. 다르게 표현하면 이는 선화증권을 포기하는 주체가 선사로 서, 선사는 수화인이 원선화증권 없이도 수화인이 확인되면 화물인도가 가능하다. 그런데 ‘Surrendered B/L’이 선사에 의해 발행되거나, 그것이 발행되었지만 원 선화증권이 화주에게 교부되지 않는 것이 법적 논쟁을 일으킬 수 있다. 이럴 경우, ‘Surrendered B/L’에 대한 대 안으로 ‘Seaway Bill’에 의한 운송이 바람직하다고 할 수 있다. ‘Seaway Bill’을 이용할 경우 수 화인은 선사에게 운송서류를 제출하거나 상환하지 않고 물품을 신속하게 수령할 수 있어서 운송물 인 도지연에 따른 문제점을 해결할 수 있다. 또한 ‘Seaway Bill’은 권리증권이 아니므로 서류분실과 서류의 위조ㆍ변조에 따른 제반위험을 회피할 수 있다는 장점이 있다. ‘Seaway Bill’의 통용으로 ‘Surrendered B/L’은 폐지되어도 무방한 상태가 된 셈이다. 나아가 전자식 ‘Seaway Bill’을 발행 함으로써 거의 비용부담 없이 운송물을 안전하게 인도할 수 있다.

영문 초록

The purpose of this study aims to analyse the legal problems of surrender B/L under Korean-Chinese trade. A surrendered bill of lading is a document issued by exporters that allows importers to legally own the items the exporter shipped. The surrender bill of lading can present a problem for exporters, because importers who have it can go into a port and take the shipped items, even if they haven't yet paid for them, and the port may charge extra for this type of bill of lading. Such demerits have led to a new practice known as a surrendered B/L. However, a surrender B/L serves as a contract of a surrender of rights between a shipper and a carrier, not between a consignee and a carrier. This leaves a room for a consignee on a B/L to hold a carrier liable for tort or default, as the surrender of rights on a surrender B/L does not affect the rights of a consignee on a B/L. That is why a seaway bill is a better alternative to replace a surrender B/L. A consignee can receive shipment without submitting transport documents to or repaying a carrier, which helps resolve problems that may be raised due to delay in delivery. A seaway bill also helps reduce risks related to loss or forgery of documents, since it is not a document of title.
