담보신탁재산 처분을 위한 신탁공매와 수의계약에 대한 법적 규율: 수의계약의 무효사유와 무효확인의 이익을 중심으로

국문 초록

부동산 담보신탁 계약에 따라 수탁자가 실시하는 환가처분으로서의 공매 및 수의계약은 사법(私法)상 매매계약이다. 이에 대해서는 관련 규제가 거의 없다고 해도 무방할 정도로 제반 절차가 사적 자치에 맡겨져 있다. 그럼에도 불구하고 대상판결에서 대법원은 매매계약 체결을 위해 경합하였던 것에 불과한 후순위 입찰자에게, 제3자들 간의 매매계약이 반사회적 법률행위로서 무효가 아닌지 여부를 다툴 수 있는 자격을 부여하였다. 이는 마치 소유권 취득을 위해 경합하던 이중매매에서의 제1매수인에게 대위청구권이라는 구제수단을 인정하여 준 것과 같다. 이중매매론에는 이미 피대위권리와 관련하여 민법 제746조의 해석 문제 등 다수의 문제점이 있고, 매도인과 제2매수인과의 매매를 절대적 무효로 봄으로 인해 법적 안정성이 심각하게 해쳐지는 난점도 있다. 이중매매에서의 제1매수인과 달리, 담보신탁 환가절차에서 후순위 입찰자는 피보전권리가 없고, 그 청약은 이미 효력을 상실하였으며, 매도인과 사이에 어떠한 법적 지위가 부여된 바 없으므로 확인의 이익을 인정하는 것은 무리한 확장해석이다. 대상판결과 같이 등기가 경료된 경우에도 확인의 이익을 인정하는 것은 기존 대법원 태도와 배치되기도 한다. 다만, 이중매매에서의 제1매수인에 대한 보호필요성만큼 이 사안에서 후순위 입찰자도 구제수단이 필요하고, 현실적으로 후순위 입찰자들이 공매 등 업무처리의 위법성을 감시할 유인이 있는 자임은 분명하므로, 이들에게 확인의 이익이 명확하게 부여될 수 있도록 협회의 자율규제를 통해 관련 규정을 마련할 것을 제안한다. 아울러 공매 및 수의계약과 관련한 제반 절차와 하자사유들에 관한 규정을 종합적으로 마련하고, 관련 공고에 관한 통합 공시 시스템 또한 구비되는 것이 필요하다고 생각한다.

영문 초록

Public auctions and free contract as a disposition of real estate pertaining to the collateral trust contract are private sales. In this regard, it is safe to say that there are almost no related regulations, and all procedures are left to private autonomy. Nevertheless, the Supreme Court granted the lower-ranking bidder, who had only competed for the conclusion of the sales contract, the right to file a lawsuit whether the sales contract between third parties was not invalid as an anti-public order act. This is the same as granting the first purchaser a remedy called the right of subrogation in a dual sale that was competing for ownership. The dual contract theory already has a number of problems, such as the problem of interpretation of Article 746 of the Civil Act in relation to the right of subrogation. And it also has the problem that legal stability can be seriously harmed by considering the sale between the seller and the second buyer absolutely invalid. Unlike the first buyer in a dual contract, the lower-ranking bidder in the collateral trust disposition procedure does not have the right of conservation, the offer has already lost its effect, and no legal status has been granted between the seller and the lower-ranking bidder. Therefore, it is an unreasonable extension of interpretation to admit the legal interest of confirmation to him. Even in cases where registration is completed, it is contrary to the existing attitude of the Supreme Court to view that there is a legal interest of confirmation. However, as much as it is necessary to protect the first buyers in a dual contract, it is clear that the lower-ranking bidders also need remedies, and in reality, the lower-ranking bidders are the ones who have the incentive to monitor the illegality of business transactions such as public auctions. Therefore, it is suggested that related regulations be prepared as self-regulation of associations so that the legal interest of confirmation can be clearly granted to them. In addition, I think it is necessary to comprehensively prepare regulations on all procedures and reasons for defects related to public auctions and private contracts, and to organize an integrated public disclosure system for related announcements.
