국문 초록

지난 2018년 한국거래소는 기업지배구조 보고서 공시를 자율공시에서 단계적 의무공시 사항으로 전환하고, 지배구조 핵심지표 준수 현황을 필수적으로 제시하는 방향으로 유가증권시장 공시규정을 개정한 바 있다. 본 논문에서는 현행 공시제도의 비교 검토로서, 영국과 일본 양국의 기업지배구조코드 운용현황을 구체적으로 조사ㆍ검토해 보았다. 궁극적으로는 우리나라 기업공시의 규제 방향과 그 타당성 검증을 위해 구체적인 비교법적 참고자료의 제공에 본 논문의 연구적 동기를 두었다. 본 논문에서는 먼저 영국의 기업지배구조코드를 개관하고 그 적용상의 구조와 운용현황을 살펴보았다. 구체적으로는 Grant Thornton에서 2020년 발간한 영국 지배구조코드 현황 보고서에 근거하여 검토하였다. 같은 방식으로 일본의 기업지배구조코드를 개관한 후, 구조 및 적용현황을 살펴보았다. 나아가 도쿄증권거래소가 2021년 6월 발간한 기업지배구조백서를 이용하여 운용현황을 정리ㆍ분석하였다. 이후, 우리나라 한국거래소에서 시행 중인 기업지배구조보고서 공시제도를 살펴보며, 영국과 일본의 지배구조 운용현황 사례들이 우리 제도상 어떠한 의미와 시사를 주는지 생각해 보았다.

영문 초록

In 2018, the Korea Exchange changed the disclosure of corporate governance reports from the voluntary disclosure to a mandatory disclosure. As a comparative legal review in the current situation where phased mandatory disclosure system is being implemented, this paper reviews the structural characteristics of UK and Japanese corporate governance codes by analyzing the current status of their implementations. The paper is to provide specific reference for comparative legal study to verify the regulatory direction and validity of corporate disclosure system in Korea. This paper studies (i) the structure and operation status of the UK corporate governance code and its applications. Specifically, it reviews the implementations of the UK codes by analyzing the report published in 2021 by Grant Thornton. In the same way, the paper studies (ii) the Japanese corporate governance code and its implementations. It reviews the structure and application status of the Japanese code and the white paper on corporate governance published by Tokyo Stock Exchange in June 2021. It also examines (iii) the corporate governance report disclosure system implemented by the Korea Exchange, and (iv) presents some implications to current Korean system in the light of the cases of UK and Japanese corporate governance codes and implementations.
