국문 초록

벤처기업은 투자금 회수 수단으로 인수합병을 주로 고려한다. 이에 벤처기업 인수합병의 선행 요인에관한 많은 연구가 수행되었으나, 대부분 인수 희망 기업의 관점에서 이루어졌다. 본 연구는 벤처기업의 주요투자자에 초점을 맞추어 투자자의 목표와 기업 내·외부 환경에 관한 인식이 기업 의사결정에 영향을 미칠수 있기 때문에 벤처기업의 주요 투자자의 영향력을 나타낼 수 있는 지분과 인수합병 의도 간의 관계 분석이필요함을 주장한다. 이러한 주장을 바탕으로 본 연구는 벤처기업 지분을 소유한 임직원 가족과 외부 투자기관은 서로 상이한 이익을 실현하고자 하는 경향이 있으며, 이러한 차이가 기업 인수합병 의도와 연관이있음을 가설로 제시한다. 본 연구의 실증분석에 「2019년 벤처기업정밀실태조사」가 활용되었다. 1,733개의법인기업 정보를 이용하여 벤처기업의 임직원 가족의 보유 지분율과 외부 투자 기관의 보유 지분율이 피인수합병 의도와 가지는 관계를 로지스틱 회귀를 통해 분석하였다. 분석 결과 임직원 가족의 보유 지분율과 피인수합병 의도 간에 부의 관계가 있었다. 반면에 외부 투자 기관의 보유 지분율과 피인수합병 의도 간에 정의관계가 있음을 발견하였다.

영문 초록

Venture firms tend to consider merger and acquisition(M&A) as one of exit strategies. As a result, antecedents of venture firms’ M&A have been studied, but most of them adhere to the viewpoint of acquirers. Focusing on the seller’s side, this study argues the need to investigate the shares of major investors indicating their influence on venture firms as their goals and perceptions about the internal and external environments of these firms can influence firm decision-making such as M&A. Based on this argument, this study suggests that families of executives and employees and external investment institutions who own shares in a venture firm tend to pursue different profit, which is related to its M&A intention. The “2019 Survey of Korea Venture Firms” was used for the empirical analysis of this study. Using information on 1,733 sample firms, the present study analyzed the relationship between the shares of the two major investors and M&A intention of venture firms through logistic regression. The empirical analysis shows two findings. First, there is a negative relationship between the shares of the families of executives and employees and M&A intention. Second, there is a positive relationship between the shares of external investment institutions and M&A intention.
