화물선취보증장의 해석에 관한 영국판례 동향

국문 초록

화물선취보증장(Letter of Guarantee ; L/G)은 양륙항에서 수하인이 선하증권 원본을 제시할 수 없는 경우에 운송인에게 발행하는 서류로서, 자신이 지시한 특정인에게 물품을 인도할 것을 요청하면서 그로 인해 발생하는 운송인의 모든 손해를 보상한다고 선언한다. 화물선취보증장이 원활한 무역거래를 촉진하기 위해 실무에서 빈번하게 사용되고 있음에도 불구하고, 운송인은 그것의 잠재적 위험을 간과하는 경향이 있다. 특히 화물선취보증장의 집행과정에서 발행인인 수하인은 화물선취보증장에 기재된 문언의 해석상 차이를 이유로 수령인인 운송인의 청구를 거부할 수 있다. 문헌연구에 따르면, 근래 영국법원에서도 Laemthong Glory(2005)사건, Bremen Max(2009)사건, Jag Ravi(2012)사건, Zagora(2017)사건, Songa Winds(2018)사건, Miracle Hope(2020)사건 등에서 화물선취보증장의 해석이 문제가 되었다. 본 논문은 6건의 영국판례를 분석하고, L/G 발행과 수령과정에서의 실무적 시사점을 제시한다.

영문 초록

Purpose : The carrier as L/G recipient tends to overlook it’s potential risks. Particularly, when seeking to enforce the L/G, the L/G issuer could reject the carrier’s claim pursuant to differences in constructon on L/G wording. The purpose of this article is to examine recent English court’s decisions which have construed the operative wording of the L/G in different practical and legal situations, and offers some implications to the commercial parties when either giving or accepting L/G. Research design, data, methodology : This article adopts the legal methodology which utilizes textbooks, journal articles, electronic resources, and several cases from the English court. Results : This article finds that there were some disputes as to the third party’s right to claim, the L/G issuer’obligation to provide the security, the identification of cargo receiver, the qualification of the discharge port’s agent, the validity of the L/G, the required time and type of security in the recent English case. Conclusions : This article emphasizes that the use of L/G is an important feature in the conduct of international trade and protect the carrier being asked to perform operation which will potentially prejudice its P&I Club’s cover. However, the carrier should always remember that the use of L/G potentially exposes the recipient to substantial additional risks and can raise complex issues of law. Due consideration and diligence must be given to the precise wording and scope during the L/G is being negotiated.
