일본에서의 동산양도담보권 입법에 관한 연구

국문 초록

일본 정부는 2018년 중소기업 등에 대한 지원방안 중의 하나로, 이러한 기업 등의 경영지원을 강화하기 위하여 금융기관의 담보·보증에 의존하지 않는 대출촉진을 통하여 여신기능을 더욱 활성화한다는 방침을 밝히고 있다. 또한, 2019년에는 기업과 금융기관의 수요를 기초로 하여 동산담보에 관한 법적 기반과 등기제도의 정비에 대하여 장기적인 법개정을 전제로 한 검토를 하기로 하였다. 이러한 일본 정부의 방침과 함께 일본 학계에서는 2019년부터 담보법제연구회를 통하여 동산 및 채권양도담보, 소유권유보, 사업담보 또는 포괄담보에 관한 입법적 논의를 진행하였다. 그 결과, 담보법제연구회의는 2021년 4월 기존의 비전형담보 전반에 걸쳐서 폭넓은 입법제안을 하였다. 이 논문에서는 그 중 동산양도담보에 관한 담보법제연구회의 입법제안과 함께 일본 학계의 평가를 소개, 분석하고 그 밖에 채권양도담보와 소유권유보에 관해서는 별도의 논문을 통하여 검토하고자 한다. 담보법제연구회에서는 동산을 목적으로 하는 담보권에 관한 법률관계의 안정성과 합리성을 제고하기 위하여 그동안 집적된 판례의 원칙을 명문화하고, 판례에 의해 규율되지 않는 법률관계를 명확화하는 한편, 기존의 학설과 판례의 내용 중 재검토할 필요가 있는 원칙에 대한 개선방안 등을 논의한다는 입법제안의 방법론을 설정하였다. 이에 기한 담보법제연구회의 입법제안의 주요 내용은 다음과 같다. 첫째 담보법제에 관한 전반적인 논의로는 동산을 목적으로 하는 신종담보물권을 창설할 것인지 여부, 둘째 기존의 판례의 법리를 조문화하는 대상으로 집합동산에 대한 특정의 방법 및 담보권의 사적 실행으로서의 귀속청산과 처분청산의 절차 및 민사집행법상 경매의 선택 여부, 셋째 불명확한 법률관계의 명확화를 위해서는 집합동산양도담보에서 실행절차나 도산절차개시 후에 반입된 개별동산에 대한 누적적 효력의 인정 여부, 넷째 현재의 학설이나 판례가 설정한 원칙에 대한 재검토의 내용으로는 동일한 목적물에 대하여 대항요건으로서 점유개정 또는 등기를 갖춘 담보권이 각각 설정된 경우에 등기우선원칙의 채택 여부 등이 있다.

영문 초록

The Japanese government has announced “The basic economic and financial policies of 2018” that it will further activate the financial service through the promotion of loans in order to strengthen the management support for small and medium-sized enterprises and small businesses. In addition, based on the needs of companies and financial institutions, it was scheduled to review the modification of the property security and the registration system for the long-term amendment of the law. Along with the Japanese government s policy, Japanese academia has been conducting wide range of legislative works on existing unstatutory securities like properties and claims security by means of transfer, the retention of title, and floating charge through the Working Group for Security Legislation since 2019. So I tried to introduce and analyze the legislative works of the working group and assessments for the works by the Japanese legal academia. In order to enhance the stability and rationality of the legal relationship about property security by means of transfer, the working group has established a methodology for legislative works that harmonizes the principles of precedents, clarifies legal relationships that are not regulated by precedents, and examines the theories and principles that need to be reviewed. As the result, the main proposals of the working group shall be as follows: First, as a general discussion on the security law, whether to create a new security right with properties or claims as objects. Second as the subjects of legislation among the principles of precedents, how to fix the floating collective properties and whether recognition of the liquidation by reversion or disposition as the private execution. Third, as a discussion for clarification of unclear legal relations, whether the floating collective properties security by means of transfer is effective for the properties brought into the collateral after the commencement of the bankruptcy procedure. Fourth, as a review of the principles established by theories and precedents, whether the registration priority principle is adopted for collateral with the agreement on possession and registration. Fifth, whether the court intervenes in the execution procedure or not.
