스튜어드십 코드의 도입에 따른 기관투자자의 경영관여(Engagement)를 둘러싼 문제점과 법적 과제

국문 초록

영국은 2010년 스튜어드십 코드를 도입한 이래 2012년과 2020년에 개정을 하여 지난 10년간 3회의 개정을 하였다. 일본도 2014년 스튜어드십 코드를 도입한 이래 2017년과 2020년에 각각 개정을 하였다. 이처럼 스튜어드십 코드를 운영하는 대표적인 국가인 영국과 일본이 빈번하게 개정하는 것은 기관투자자의 투자시장 변화가 빠르게 때문에 스튜어드십 활동(경영관여)의 실효성을 높이기 위한 것이다. 우리나라는 2016년 스튜어드십 코드를 제정한 이래 아직까지 개정을 하지 않고 제도의 정착에 주력하여 왔다. 그러나 2018년 국민연금이 가입한 것을 계기로 하여 제도의 기반이 어느 정도 구축되었으므로 그동안 시행과정에서 나타난 문제점을 반영하여 코드를 개정할 시점이 되었다고 본다. 이러한 개정을 하는데 있어서 영국과 일본의 개정코드가 시사점을 주고 있다. 첫째, 한국 코드는 국내 상장회사의 주식을 보유한 국내외 기관투자자에게 적용되고 있으나, 기관투자자의 투자흐름이 다양해지고 있는 현실을 반영하여 투자대상 자산의 범위를 국내의 주식에서 국내외의 모든 자산으로 확대하여야 할 것이다. 둘째, ‘준수 또는 설명’ 원칙은 설명이 충분하게 이루어지지 않아 유용한 정보가 제공되지 않는다는 비판을 받는다. 그 대안으로 등장한 ‘적용 및 설명’ 원칙의 도입에 대해서도 검토가 필요하다. 셋째, 경영관여의 실효성을 높이기 위해서는 ‘준수 또는 설명’ 원칙에 의한 형식적 이행이 아니라 경영관여의 결과를 보고하는 체제를 구축해야 한다. 넷째, 영국과 일본은 경영관여에 따른 비용효과 문제를 해소하기 위하여 협동적 경영관여를 인정하고 있다. 우리나라의 경우에도 어느 정도 제도적 기반이 구축되었으므로 협동적 경영관여 제도 도입에 대한 검토가 필요할 것이다. 다섯째, 국민연금의 코드 가입을 계기로 서비스 제공자의 활용이 활성화 될 것으로 예상되고 있다. 서비스 제공자에 대한 규율이 강화되는 세계적 추세를 반영하여 이에 대한 규율을 코드에 도입하는 것이 바람직하다.

영문 초록

After the United Kingdom introduced ‘The UK Stewardship Code’ in 2010, it revised the Code in 2012 and 2020, which means that the United Kingdom has revised the code three times for last 10 years. The Japan revised its stewardship code in 2017 and 2020 after the introduction of the code in 2014. The reason that the United Kingdom and the Japan revised the code frequently lies in enhancing stewardship activities(engagement) in order to cope with the rapid change of investment markets. Korea has endeavored to settle down the code without revising it which was introduced in 2016. However, since the National Pension Service joined the code in 2018, the introduction of the stewardship code has been stabilized to a certain degree and it needs to revise the code reflecting those problems which occurred during implementing processes. The United Kingdom and Japan’s revised codes provide lots of suggestions in revising Korea’s code. Firstly, even though the Korea’s stewardship code is applied to domestic and foreign institutional investors, in responding to the reality of investment chain of institutional investors being diversified, the scope of investment asset should be extended to all types of domestic and foreign assets from domestic stocks. Secondly, ‘comply or explain’ principle is criticized for not providing useful information owing to insufficient explanation. It needs to adopt ‘apply and explain’ principles as a substitute. Thirdly, in order to enhance the effectiveness of engagement, it is necessary to construct the system of reporting outcomes of engagement rather than the superficial performance based on ‘comply or explain’ principles. Fourthly, Korea needs to consider introducing collaborative engagement since institutional basis for the stewardship code is established to a certain degree. Fifthly, utilization of proxy advisory firms seems to be escalated as a momentum of National Pension Services’ joining stewardship code. Reflecting global trend of tightening regulations on proxy advisory firms, it will be desirable to introduce regulations into the code.
