국문 초록

적은 지분으로 사실상 기업집단 전체를 지배하는 우리나라 특유의 소유지배구조인 재벌체제 하에서는 경영권 승계와 관련하여 여러 가지 형태의 문제점이 발생하게 된다. 이에 본 고에서는 우리나라 기업집단 가운데 가장 규모가 크고 경영권 승계와 관련하여 사회적 이슈가 되어 왔던 삼성그룹의 경영권 승계에 관해 살펴보고 관련된 문제점을 짚어 보고자 한다. 삼성그룹은 에버랜드의 전환사채를 헐값에 발행하여 이재용 등 자녀들이 인수토록 하고, 이어서 에버랜드의 그룹 지배권을 확대하고 기업가치를 높인 다음 신규 상장을 하게 된다. 그리고 삼성그룹의 또 다른 지주회사 역할을 하고 있던 삼성물산과 합병하면서 이재용 등 자녀들의 지분이 높은 에버랜드(합병 시점의 회사명은 제일모직)에게 유리한 합병을 시도하게 된다. 이러한 과정은 우리나라 재벌의 전형적인 경영권 편법 승계 과정인 것이다.

영문 초록

The tax is a big obstacle in the transfer of management control of firms. In particular, this problem is severe to Korean chaebol. Thus, owner of chaebol may resort to an expedient for the succession of management control to his/her children. Typical way to avoid heavy taxes is to let successor acquire shares of unlisted firm at a low price. Then, the unlisted firm is supported by other firms in chaebol group in order to raise its firm value. Ultimately, the firm owned by children is listed on the stock exchange through initial public offering (IPO). After that, the firm owned by children merge the firm which controls other firms in chaebol group. The Samsung group also underwent this typical process. Hence, this paper examines how the succession of management control in Samsung group went off by focussing on the Everland convertible bond issues, and discusses the related legal and financial argument.
