기업재조직방법으로서의 사적정리와 법적정리 비교

국문 초록

재무적 곤경을 겪는 많은 기업이 사적 혹은 법적 정리 과정을 거쳐 재건되거나 청산되지만, 방법적 오류로 인해 청산되어야 할 기업이 청산되지 못하고 재건되어야 할 기업이 재건되지 못하는 등 비효율적인 측면도 많이 있었다. 또한 기업특성에 맞는 기업재조직 방법을 적용하기 위한 구체적 기준이 마련되어 있지 않아 어려움을 겪기도 한다. 본 연구는 재무적 곤경 기업의 특성에 따라 기업재조직 수단이 다르게 적용될 수 있음을 이론적으로 살펴보았다. 연구 결과는 다음과 같다. 첫째, 재무적 곤경 기업의 무형자산 비율이 높을수록 사적정리가 유리하다. 둘째, 기업의 청산가치가 높을수록 법적정리를 신청하는 것이 유리하다. 셋째, 기업의 평판이 좋을수록 사적정리가 유리하다. 기업의 특성을 고려한 효율적인 기업재조직 방법을 모색하는 일은 경제 정체의 생산성 향상 및 자원 배분 측면에서 매우 중요한 작업이라 할 수 있다.

영문 초록

Many companies suffering from financial difficulties have been reconstructed or liquidated through private or legal process, but there have been many ineffective aspects, such as the failure of the company to be liquidated due to methodological errors and the failure of the company to be rebuilt. Also, there are difficulties because there is no specific standard for applying the corporate reorganization method to the characteristics of the company. This study explores theoretically that corporate reorganization measures can be applied differently depending on the characteristics of financial distressed companies. The results of the study are as follows. First, the higher the ratio of intangible assets of financial distressed companies, the more favorable the private filing is. Second, the higher the liquidation value of a company is, the more favorable it is to file a legal order. Third, the better the company s reputation is, the more favorable it is to file a legal order. It is important to look for an efficient reorganization method considering the characteristics of a company in terms of productivity improvement and resource allocation.
