지식재산권의 담보기능 활성화에 관한 고찰

국문 초록

지식재산권을 담보로 제공하여 금융을 제공하는 일련의 방안으로, 최근 주목을 받고있는 지식재산의 유동화는 유동성이 부족한 지식재산을 증권화하여 자본시장에서 투자대상으로 가공하는 행위로 지식재산의 보유자에게는 효율적인 자금조달의 수단으로, 또한 이러한 자금을 기반으로 한 지식재산권 창출에의 재투자 및 기술개발의 활성화와 함께 종합적인 지식재산관리 등 다양한 기능이라는 선순환 구조를 창출할 수 있다. 일반적으로 기업들은 담보가 가능한 자산의 부족으로 자금조달의 측면에서 어려움을 겪고 있으며, 특히 대부분의 IT관련 중소규모의 기업은 기술집약적 기업의 형태로 그 보유 자산은 대부분 특허권 등 지식재산이어서 종래의 금융수단으로는 자금조달이 힘든 실정에 있다. 따라서 지식재산권을 기반으로 한 자산유동화를 활용하는 경우 기업의 운영은 물론이고 연구개발에의 재투자에 지출되는 자금조달의 문제를 해결 할 수 있는 대안으로 자리잡을 수 있을 것이다. 특히, 기업이 보유하고 있는 지식재산권 중에서 양호한 현금흐름을 확보할 수 있는 자산을 유동화의 기초자산으로 할 경우에는 우량한 지식재산권의 활용방안으로서의 기능과 함께 관련 투자시장을 형성으로 새로운 금융제도로서의 기능도 진작할 수 있을 것이다. 다만 현재 일부 지식재산권의 유동화가 이루어지고 있는 상황에서도, 유동화의 대상이되는 지식재산권이 안정적인 현금흐름을 창출하거나 장래 안정적인 현금흐름을 확보하기힘들기 때문에 지식재산권 유동화는 미래의 수입이 확실한 지식재산권을 대상으로 이루어지고 있는 상황에 있다. 또한 지식재산 금융을 위한 법제적 기초만이 마련되어 있는 정도에서, 그 밖의 제반여건이 성숙하게 되어 있지 못하는 이유로 우리나라에서는 아직까지 지식재산권을 유동화한 사례는 극히 드물게 발견되고 있는 실정에 있다. 따라서, 이러한 지식재산권에 관한 법적 환경의 변화와 함께 관련 제도를 정비할 경우에만 지식재산권에 기반을 둔 담보제도 역시 본래의 기능을 충실히 도모할 수 있는 것이므로, 지식재산권의 유동화와 같은 담보기능의 활성화에 대한 논의는 제고의 가치가 있다고 생각된다. 즉, 지식재산권의 유동화 관련 제도의 정비와 함께 지식재산관련 금융 시스템의 제반여건을 개선하는 노력을 통하여, 지식재산권의 가치를 활용한 담보기능의 발전 및 활성화는 진정으로 이루어 질 것이다.

영문 초록

In a series of measures to provide financing by providing Intellectual property rights as collateral, Securitization of intellectual property which is getting attention recently is the act of processing as an investment destination. It acts as a means of effective funding for the holders of intellectual property also. In order to get a finance, the typical method which provides Intellectual property with security in Korea is to establish the right of pledge or to use transfer security. Specially, to evade the transfer of the possession and to avoid the loss of the use profit which is caused by transfer of possession, Intellectual property owner substitutes the right of pledge and there is a tendency which uses transfer security. In addition, it can generate a virtuous cycle of various functions such as a comprehensive intellectual property management with the reinvestment of the intellectual property and the activation of technology development. In general, companies are experiencing difficulties in terms of funding due to a lack of available collateral assets, Most of the companies are experiencing difficulties in terms of funding due to a lack of available collateral assets, in particular, most of the IT-related small and medium-sized businesses holds patents such as intellectual property assets, so that they have difficulties in financing. Therefore, utilizing the asset securitization based on intellectual property will be able to establish itself as an alternative that can solve the problem of financing as well as company's operations. In this regard, this paper examined the plan of developing and activating the security function using the value of intellectual property rights, through maintenance of the securitization system of Intellectual Property and its efforts to improve the overall condition of the Intellectual Property financial system.
