국문 초록

연구목적: 본 논문의 연구목적은 상법상의 전자선화증권 규정에 의거한 한국형 전자선화증권 모델의 특징을 연구하고 그 특징상의 문제점과 해결방안을 모색함으로써 한국형 전자선화증권 도입을 촉진하는데 기여하는 것이다. 기존 전자선화증권 모델별로 그 특징이 있기 때문에 한국형 전자선화증권의 특징을 살펴보는 것도 전자선화증권의 글로벌 도입과 전자선화증권의 상용화와 연결되기 때문에 매우 의미가 있고 시의적절한 주제라고 판단할 수 있다. 논문구성/논리: 본 논문은 총 5개장으로 구성되어 있으며 제1장은 서론으로서 연구의 배경과 연구목적을 기술하고 있으며 제2장은 선행연구분석으로 최근에 연구된 전자선화증권 논문들을 분석하였고 한국형 전자선화증권을 다루고 있는 논문도 별도로 분석하고 있다. 제3장은 한국형 전자선화증권의 의의와 운영현황 그리고 특징을 다루고 있는데 특징은 적용법률상의 특징과 등록기관 지정제도상의 특징으로 구분하여 살펴본다. 제4장은 특징상의 문제점과 해결방안을 분석하고 있는데 법적 효력 등의 차원에서 문제점과 해결방안을 제시하고 제5장은 결론을 내리고 있다. 결과: 본 논문은 한국형 전자선화증권의 특징상의 문제점과 해결방안을 다루고 있다. 첫째, 법적 효력차원의 문제점은 등록기관에 등록된 전자선화증권의 법적 효력 인정문제이다. 둘째, 지정제도 법체계상의 문제로 시행령에서 너무 세밀하게 규정하고 있다는 점, 법률의 투명성과 개방성이 미흡하다는 점이다. 셋째, 운용상의 문제점으로서 양도신청 전자문서에 포함될 동일성을 표시하는 정보의 부적합성, 등록기관의 종이선화증권으로 교체하여 발행해야 한다는 점에서 기존의 선행사례와의 차이가 존재하고 서류심사에서의 비정규성문제가 있다. 넷째, 전자선화증권 유통상의 글로벌 인증문제가 있고 이러한 문제들에 대한 해결방안을 각각 제시하고 있다. 독창성/가치: 기존의 논문들은 한국 전자선화증권의 도입논의에 대한 개괄적인 내용을 다루고 있는 논문이 대부분이었지만 본 논문은 기존의 논문에서 다루지 않은 한국형 전자선화증권의 특징상의 문제점과 해결방안을 적용법률과 등록기관 지정제도상에서 분석하고 있다는 점에서 독창성이 있다. 그리고 그 특징상의 문제점과 해결방안들이 전자선화증권의 글로벌 도입과 상용화 차원에서 대안으로서 분석되고 있다는 점에서 논문의 가치가 높이 평가될 수 있다고 판단된다.

영문 초록

Purpose: The purpose of this paper is to expedite the introduction of the electronic bill of lading by studying the characteristics of Korean Electronic Bill of Lading model under the regulations of the Korean commercial law and finding the problems and solutions of the characteristics. As there are the own specific characteristics of the Electronic Bill of Lading models, to study those of the Korean Electronic Bill of Lading is meaning and timely in that this paper is in regard to the global and commercial utilization of the Electronic Bill of Lading. Composition/Logic: This paper is composed of five chapters and chapter Ⅰ as introduction explains the background and purpose of this paper. Chapter Ⅱ analyzes the literatures on e-B/L and also those of Korean e-B/L. Chapter Ⅲ deals with the implication and operation of Korean e-B/L and its characteristics. Chapter Ⅳ finds the problems of characteristics of Korean B/L and suggests their solutions in view of legal effect etc. for activating Korean Bill of Lading. Chapter Ⅴ concludes this paper. Findings: This paper finds the problems and solutions regarding the characteristics of Korean Electronic Bill of Lading. First, there is a problem that the e-B/L registered in the designated Registration Authority(R.A) has the legal effect. Second, there are issues regarding legal scheme regarding designation of Registration Authority, that is to say, the very detailed enforcement ordinance regarding e-B/L and the lack in the openness and transparency of the law. Third, there are problems in operation of e-B/L such as the unsuitability of identity information in the Transfer Application of e-B/L, disparity and irregularity from practices in view of paper B/L issued by R.A. Fourth, there is the problem with global certification for international negotiation of B/L and solutions of these problems are explained. Originality/Value: The previous papers have generally discussed on the introduction of the Korean e-B/L, but this paper analyses the problems due to the characteristics of Korean e-B/L as well as solutions for it in view of legal scheme and R.A. designation. And the value of this paper can be highly estimated in that the problems and its solutions can be analyzed as alternatives for the global and commercial utilization of the e-B/L in Korea and abroad.
