국문 초록

기업지배구조와 기술혁신의 관계에 대해서는 본인-대리인 이론의 관점에서 모니터링 비용을 최소화 할 수 있도록 대주주가 존재하는 것이 기술혁신 투자와 성과에 유리하다는 관점이 지배적이었다. 하지만 본 연구에서는 신슘페터주의 경제학의 역량론적 기업관을 받아들여 각 기업이 처한 기술환경에 따라 적합한 기업지배구조가 다를 수 있음을 이론적ㆍ실증적으로 보이고자 한다. 구체적으로 점진적인 기술환경 하에서는 장기적인 학습을 지원할 수 있는 다양성이 낮은 기업지배구조가, 급진적인 기술환경 하에서는 다양한 외부 자원을 활용할 수 있는 다양성이 높은 기업지배구조가 유리하다는 이론을 전개하고 이를 회귀분석을 통해 검증하였다. 그 결과 기술환경에 따라 기업지배구조의 다양성이 혁신성과에 미치는 영향이 다를 것이라는 이론적 추론이 실증적으로도 타당성이 있고, 나아가 최소한 급진적인 기술환경에서는 다양성이 높은 기업지배구조가 혁신성과의 창출에 보다 유리할 것이라는 우리의 가설도 실증적으로 타당성이 있음을 보여줄 수 있었다.

영문 초록

On the relationship between corporate governance and technological innovation, the common beliefs is that the corporate governance with a dominant shareholder is more beneficial in technological innovation, because it can minimize the monitoring costs on the basis of the principal-agent views of a firm. But in this paper we will show both theoretically and empirically on the basis of the competency theory of firm of the neo-schumpetrian economics that the desirable corporate governance for technological innovation depends upon the technological environments with which a firm is faced. To be concrete we establish two hypotheses. One is that the corporate governance with a low degree of variety is more relevant in moderate technological environments, because it can support a long-run learning. The other is that the corporate governance with a high degree of variety is more relevant in radical technological environments, because it can take use of the various external resources. We also tests empirically these two hypotheses by the regression analysis. The empirical results show that the theoretical inference, which the impact of the degree of variety of corporate governance upon the performance of the technological innovation varies with the firm's technological environments, has empirical validity. Furthermore at least the hypothesis, which argues that the corporate governance with a high degree of variety is more relevant in radical technological environments, is also empirically valid.
