영문 초록

M&A without equity is generally defined to buy a target company by loans. M&A without equity exits in many types, but LBO(Leveraged Buyouts) in the United States is current issues in Korea. LBO is as a general rule defined to buy a target company by taking advantage of assets of the target company. In the followings, first I will examine the two important M&A cases by LBO cccurred in Korea, and then I intend to bring forward my opinions about introducing LBO methods into the Korea. Especially merger is detailly enacted by the Commercial Law in Korea, for that reason I think the Criminal Law ought to holdback its involvement to LBO by merger.
