국문 초록

2005년 도입된 코스닥 기술특례상장제도는 기술성과 시장성을 갖춘 기업이 자본시장을 통해 성장할 수 있도록 한 제도이다. 도입 초기 성과가 미진하였으나 2018년 이후 기술특례상장기업이 급속히 증가하는 등 제도가 시장에 정착되고 있다. 본 연구는 이 시점에서 이루어진 기술특례상장 제도의 개선 과정과 그로 인한 활성화 효과를 살펴보았다. 2018년 제도 개선에서 당시 성장성 추천특례, 사업모델 평가특례 등 상장트랙의 확장으로 3년(2018년～2021년)간 21개사가 상장하였고, 상장절차 간소화 제도개선으로 소재 부품 장비 업종은 동 기간 15사개가 상장되었다. 또한 제도 도입초기부터 기술평가 신뢰성 제고를 위한 평가기관 다양화 노력과 업종확대 등 특례상장 문호 확대 노력이 지속되었고 2016년 이후 AI기술 기반 많은 기업들이 번역서비스, 의료영상진단, 영상 분야 등 다수 업종에서 등장하였고, 다양한 평가기관 정립, 업종제한 해제 등이 기술특례상장에 성공할 수 있는 기반이 되었다. 기술특례상장제도 개선은 그동안 상장활성화라는 양적 관점에서 이루어져 온 바, 이제 더불어 질적인 면의 접근이 필요하다. 우선 진입단계에서는 좀 더 심도 있는 성장성 평가를 할 수 있도록 전문평가기관 평가결과와 이후 기술특례상장기업 실적과 관계를 정기적으로 모니터링, 피드백 받는 방법이 도입될 수 있다. 시장진입 이후 관리는 인공지능, 소부장 업종 등 최근 업종 확대를 감안, 업종 특성을 감안한 공시 체계 구축과 추가적으로 상장주관사 기술특례상장기업에 대한 IPO 실사기간 연장 등 강화가 필요하다.

영문 초록

The KOSDAQ technology special listing system, introduced in 2005, is a system that allows companies with technology and marketability to grow through the capital market, although their current performance is insignificant. Although the results were insufficient for more than 10 years. The system has been established in the market, with the number of companies listed on special technology cases rapidly increasing since 2018. The efforts to diversify evaluation institutions to enhance reliability in technology evaluation and expand special listing doors such as expanding industries have continued, which seems to have affected the system along with changes in industrial trends. Establishing various evaluation institutions that can be evaluated and lifting industry restrictions became the basis for successful listing of special technology cases. First of all, it proposes a method of regularly monitoring and receiving feedback on the evaluation results of professional evaluation institutions and the performance and relationship of listed companies in special technologies. After entering the market, management needs a disclosure system that takes into account the characteristics of the industry, considering the recent expansion of industries such as AI and small businesses. In addition, to strengthen the IPO due diligence period for technology special listing.
