태국 프랜차이즈 규제에 관한 연구

국문 초록

본 연구는 태국의 프랜차이즈 거래 관련 규제의 특징을 분석하고 시사점을 도출해 내는 것을 목적으로 한다. 제2장(Ⅱ)에서는 태국 프랜차이즈의 산업 현황을 개관하고, 제3장(Ⅲ)에서 현행 태국 프랜차이즈 관련 법적 규제를 민상법, 각종 지식재산 관련 법률, 경쟁법 및 최근 제정･시행 중인 프랜차이즈 관련 불공정행위 가이드라인 고시 등을 중심으로 살펴본다. 태국의 경우, 다른 아세안 국가들에 비해 법제도적 인프라가 잘 갖추어져 있는 편이지만, 프랜차이즈 거래와 관련하여 아직 프랜차이즈를 규율하는 통합된 독립법은 존재하지는 않는다. 태국 프랜차이즈법 초안이 2010년 태국 상무부에 의해 제안되어 국회에 상정되었지만, 아직까지 계류 중에 있다. 대신, 계약과 관련하여 기본법에 해당하는 태국 민상법과 그 밖에 경쟁법 및 다양한 지식관련 법률들이 프랜차이즈 거래 관련 사안에 적용된다. 그러나 이러한 법률들은 프랜차이즈 계약에 대한 몇 가지 기본적인 사항만을 규정하고 있을 뿐이다. 따라서 프랜차이즈 계약 당사자들은 해당 법률에 따르는 시행령 내지 시행규칙 및 기타 특별 법규의 세부 내용을 파악하는 것이 필요하다. 2019년 태국 경쟁위원회는 프랜차이즈 관련 불공정행위 가이드라인 고시를 제정･시행하여 경쟁법의 이행력을 높이는 노력을 하고 있는데, 이는 프랜차이즈 거래의 건전성을 확보하는데 중요한 역할을 할 것으로 보인다. 더욱 안정적인 프랜차이즈 거래 환경을 조성하기 위하여, 장기간 국회에 계류 중인 프랜차이즈법을 완비하여 조속히 통과시킴으로써 프랜차이즈 제도를 통합･정비할 필요가 있다.

영문 초록

The aim of this study is to analyze the characteristics of the regulations related to franchise transactions in Thailand. Chapter II provides an overview of the franchise industry of Thailand, and Chapter III provides an overview of the current legal regulations related to franchises in Thailand. In the case of Thailand, compared to other ASEAN countries, the legal and institutional infrastructure is well-equipped, but there is no integrated independent law governing the franchises yet. The “Draft Franchise Act” in Thailand was proposed by the Thai Ministry of Commerce in 2010 and presented to the National Assembly, but it is still pending. Instead, various laws such as the Civil and Commercial Code, and the Trade Competition Act are applied to franchise transactions. However, these laws stipulate only a few basic matters for franchise contracts. Therefore, it is necessary for the parties involved in the franchise contract to grasp the details of a series of enforcement decrees. In 2019, the Thai Competition Commission enacted the “Notification Regarding the Guidelines for the Consideration of Unfair Trade Practices in Franchise Businesses”, making efforts to enhance the implementation of the Trade Competition Act, which is expected to play a very important role in securing the soundness of franchise transactions. In order to create a more stable franchise trading environment, it is also necessary to integrate and reorganize the franchise system by completing the “Franchise Act”, which has been pending in the National Assembly for a long time, and passing it as soon as possible.
