소유권유보부매매의 유형과 법리

국문 초록

소유권유보부매매에서 매수인은 매매목적물을 점유하고 있기에 자신의 매매대금채무를 모두 완제하기 이전에 그 목적물을 제3자에게 처분하는 경우가 있고, 이러한 경우에는 제3자의 선의취득으로 인하여 매도인은 자신의 유보소유권을 상실할 위험에 처한다. 그럼에도 불구하고 매도인에게 유보소유권을 인정하되, 매수인에게는 소위 물권적 기대권의 인정을 통하여 오히려 매수인의 권리보호의 강화를 위한 시도가 이루어져 왔다. 문제는 여기서의 물권적 기대권의 내용의 모호성으로 인하여 논란이 가중되었다. 특히 물권적 기대권의 인정의 필요성에 치중하다보니 물권법정주의 내지 일물일권주의에 대한 침해의 여지도 제기된 것이다. 따라서 물권적 기대권을 새로운 물권 내지 독자적 물권으로의 파악은 물권법의 근간의 원칙을 해하는 것으로 자중되어야 할 것이다. 차라리 소유권유보부매매에서의 피담보채권의 변제비율에 따라 매도인에게 유보된 소유권의 지분이 이전되는 것으로 해석함이 타당할 것이다. 이외에도 매수인의 매매대금 완제 전에 매매목적물의 제3자에 대한 처분의 위험에서 매도인을 보호하기 위하여 연장된 소유권유보부매매이론이 등장하였다. 연장된 소유권유보부매매에 있어 매수인의 점유 중의 동산에 매수인이 가공하여 우리 민법 제259조의 규정에서처럼 가공물의 가액의 증가가 원재료의 가액보다 현저한 경우에도 그 가공물에 대한 소유권은 매도인에게 속한다고 가공조항을 약정할 수 있다. 그러나 가공조항에 의하여 가공물에 대한 소유권을 매도인이 취득한다고 하더라도 매수인이 그 가공물을 선의의 제3자에게 양도한 경우에는 우리 민법 제249조의 선의취득에 의하여 매도인은 가공물에 대한 소유권을 상실하게 된다. 그리하여 매도인은 매수인이 가공물의 전매로 취득하게 될 장래채권을 미리 매도인에게 양도하게 하는 선채권양도조항을 설정한다. 그러나 문제는 유보목적물의 전매로 발생할 채권을 미리 양도한 경우에 우리 민법 제450조의 대항요건의 성립여부에 관한 것이다. 이러한 문제를 해결하기 위해서는 우리 민법 제450조의 채권양도의 대항요건을 다소 완화하는 방법을 들 수 있다. 그리하여 대항요건으로서 채권양도사실에 대한 양도인의 채무자에 대한 확정일자에 의한 통지와 관련하여 장래의 불특정 채무자에게 그 확정일자 있는 통지의 도달시를 양도인(매수인)과 제3자(채무자)사이에 이루어지게 될 매매목적물에 관한 전매계약이 체결된 일자로 의제하는 것이다.

영문 초록

In the sale of ownership reservations, the buyer occupies the object of sale, so the object may be disposed of to a third party before all of his or her trade debt is completed. In this case, the seller is at risk of losing his or her right to hold the reservation due to the goodwill acquisition of a third party. In addition, although the ownership of the reservation is recognized by the seller, the so-called right of anticipation of the right to property is recognized by the buyer, and attempts have been made to strengthen the protection of the buyer s rights. The problem is that the content of anticipatory rights here is ambiguous, and the controversy has increased. In particular, the focus on the necessity of acknowledgment of the right to anticipation of property rights also raised the possibility of infringement on the right to jurisdiction or the right to monopolyism. Therefore, grasping the expectation of the right to register as a new or independent property right should be considered as violating the fundamental principles of the right to act. Rather, it would be reasonable to interpret that the ownership interest reserved to the seller is transferred in accordance with the rate of reimbursement of the secured receivables in the sale of ownership reservations. In addition, before the completion of the buyer s purchase price, an extended ownership reservation and sales theory appeared to protect the seller from the risk of disposing of the object for sale to a third party. However, the question is whether the counterpart of Article 450 of the Korean Civil Code is established if the buyer resells the reserved object and transfers the bonds to be generated in advance. In order to solve this problem, there is a way to somewhat ease the countermeasures against the transfer of bonds in Article 450 of the Korean Civil Code. As a countermeasure, when the notification of the future date to the unspecified debtor is reached in connection with the obligation to notify the debtor of the bond regarding the fact of the transfer of the bond, the date on which the pre-sale contract for the work was concluded between the buyer and the seller It is to be treated as.
