정보제공의무에 대한 일반규정 신설의 필요성

국문 초록

정보제공의무에 대한 일반규정을 신설하고자 하는 논의는 현대사회에서 정보제공의무에 대한 중요성이 커짐에 따라 이를 민법전에 반영하고자 시도된 것으로 보인다. 정보제공의무에 대한 중요성은 희석되지 않았으며, 오히려 앞으로 더 중요해질 것이다. 그럼에도 필요성에 몰각되어 제대로 검토되지 않은 채 주장되었던 부분이 있어 본 논문에서는 그 점을 집중적으로 검토하였다. 결론적으로는 정보제공의무에 대한 일반규정은 어떠한 경우에 정보제공의무가 인정될 수 있는지에 대한 기준을 제시하는 데 실패하여 그 최소한의 성과도 달성하지 못하였으며, 그 나머지 규정은 그 자체로서는 아무런 의미가 없거나, 기존의 제도(즉 착오, 사기를 근거로 한 계약의 해소, 불법행위를 근거로 한 손해배상책임의 인정)와의 사이에서 체계상 문제를 일으키게 된다. 이는 기존의 제도 역시 제대로 정리되지 못한 현재의 법제도 하에서 더 심각한 결과를 야기할 수도 있다. 이에 정보제공의무에 대한 일반규정을 민법에 신설하는 것을 반대한다는 것이 본 논문의 요지이다. 일반규정의 신설에는 반대하지만, 오히려 정보제공의무에 대한 논의는 사회적 약자의 보호라는 큰 흐름 속에서 앞으로 더욱 더 논의가 활발히 이루어져야 한다고 생각한다. 우리 민법의 기본적인 구조를 토대로 세부적인 영역의 특별한 사정을 고려하여 그 의무의 인정여부가 논의되어야 할 것이다.

영문 초록

The proposal on stipulation of a general provision as to duty to inform seems to have been attempted to reflect them in civil law as the importance of duty to inform increases in modern society. The importance of duty to inform is not diluted, but will become more important in the future. Nevertheless, there was a part that was insisted on necessity and not properly reviewed. In conclusion, the proposal on stipulation of a general provision on duty to inform failed to provide a criterion on how duty to inform could be admitted so did not achieve their minimum performance. Further it does not mean anything by itself or, if not, it causes there is a systematic problem with existing institutions(that is, rescission of contract based on mistake or fraud, and liability for damages based on tort). This may have more serious consequences under current legal systems, where existing ones are also not well organized. In this regard, the main point of this paper is to oppose the stipulation of a general provision as to duty to inform in civil law. Despite the opposition to the creation of the General Regulations, I believe that discussions on duty to inform should be actively discussed in the future in the great flow of protection of the socially disadvantaged. Based on the basic structure of our civil law, the recognition of its obligations should be discussed, taking into account specific circumstances in specific areas.
