미국법상 착오와 사정변경법리

국문 초록

계약 당사자가 계약을 맺은 뒤에 계약의 기초가 되는 부분에 큰 변화가 생겼다. 이럴 경우, 계약 당사자는 착오를 이유로 계약을 취소할 수 있을까? 아니면 계약 성립 이후에 생긴 중대한 변화를 이유로 사정변경 법리에 계약에 따라서 계약을 해소할 수 있을까? 이는 착오와 사정변경 법리가 중첩하는 영역이다. 아직 이에 대한 대법원 판결은 없지만, 같은 사실 관계를 바탕으로 두 고등법원이 상반된 판단을 내렸다. 이에 대해서 글쓴이는 미국법을 중심으로 착오와 사정변경 법리를 고찰하여 이 문제를 어떻게 해결할 수 있는지 살피고자 한다. 이 글은 모두 일곱 부분으로 구성된다. 먼저 이 사건의 사실관계에 따른 쟁점을 살피고, II.와 III.에서는 대상 판결과 관련 판결 법원의 판단 결과와 그 논거를 설명한다. 그리고 이 사안을 비교법으로 검토하기 위해서, IV.에서는 미국법상 착오 법리로, V.에서는 미국법상 사정변경 법리를 고찰한다. 그리고 사안의 특수성에 따라서 VI.에서는 미국법상 천연자원 영역을 살핀다. VII.에서는 지금까지 논의한 내용을 정리하고, 이 판례 사안을 해결하고자 한다.

영문 초록

Significant changes have been made to the basis of the contract after the parties have made it. If so, could one of the contracting parties cancel the contract because of the cancellation? Or could the contract be terminated in accordance with the doctrine of change of circumstances due to the significant changes that occurred since the contract had been formed? This is the area where the theories of mistake and of change of circumstances have been overlapped. There has been no decision of the Korean Supreme Court on this matter yet, but based on the same facts, the two Appeal Courts made their opposite decisions. In this regard, this author would like to study how to solve this problem by examining rules of mutual mistake and doctrine of change of circumstances in American law. This article has seven parts. First, this author has looked at issues of the facts of these cases, and in II. and III., this author has explained the findings of the courts and their arguments. Then this author has analyzed the cases in question. To study this, this author has examined the doctrine of mistake in IV. and doctrine of change of circumstances of US law in V. In VI. this author has dealt with US cases concerning natural resource contracts. In VII. this author has summarized what had been discussed so far and suggested what may be appropriate alternatives to resolve these cases.
