국문 초록

본 논문은 롯데그룹 지주회사체제의 성립 과정 및 지분구조의 변화를 분석한다. 롯데그룹의 지주회사체제는 두 단계의 과정으로 진행되었다. 첫째, 2017년 10월 롯데제과가 2개 회사(롯데지주, 롯데제과)로 인적 분할하였다. 롯데지주는 존속회사로서 상호 변경과 함께 지주회사로전환하고 롯데제과는 신설되었다. 롯데지주는 기존 롯데제과의 영위사업 중 투자부문을, 신설 롯데제과는 나머지 사업부문을 각각 담당하였다. 이와 동시에, 3개 계열회사의 투자부문이 인적 분할된 후 모두 롯데지주에 흡수합병되었다. 둘째, 2018년 4월 6개 계열회사의 일부 또는 전부가 롯데지주에 흡수합병되었다; 2개 회사는 투자부문이 인적 분할을 통해 신설된 후, 3개 회사는 투자부문이 인적 분할을 통해 존속회사로 나누어진 뒤 모두 롯데지주에 합병되었다; 1 개 회사는 롯데지주에 바로 합병되었다. 이러한 변화를 통해 2018년 9월 현재 롯데그룹은 91개 계열회사 중 57%에 달하는 52개가 지주회사체제에 편입되어 있다. 지주회사인 롯데지주, 자회사 24개, 손자회사 27개 등이다. 롯데지주의 최대주주는 그룹 동일인인 신동빈이며 지분은 10.5%로 적은 편이다. 대신, 최대주주 및 특수관계인 지분이 38.3%이고, 자기주식은 더 많은 39.3%이다. 특수관계인 중에는 7개계열회사가 포함되어 있으며, 신동빈 또한 롯데지주 외에 17개의 다른 계열회사에 지분을 보유하고 있다. 이러한 지분들이 어떤 방식으로 정리되고 신동빈의 롯데지주 지분이 어느 정도 로 강화될지, 그리고 롯데지주의 계열회사 수가 어느 정도로 증가하여 보다 성숙한 지주회사 체제가 확립될지 주목된다.

영문 초록

This paper explores the ways in which the corporate governance of Lotte Group, the 5th largest group in Korea as of 2018, has changed from the interlocking ownership to the holding company system. The system was established through two stages. First, in October 2017, Lotte Confectionery, a key member company of the Group, was transformed into a holding company called Lotte Holding Company, which, at the same time, took over the ‘investment’ segments of three member companies. And, second, in April 2018, the new holding company merged the ‘investment’ segments of five other companies and, also, one cmpany as a whole. As the result, in Lotte Group as of May 2018, a nearly half of the member companies (48 of 107 companies; 45%) was organized in the holding company system, which consisted of one holding company (Lotte Holding Company), 20 son companies, 26 grandson companies, and one grand-grandson company. The representative owner of the holding company is Dong-Bin Shin, the second son of Gyuk-Ho Shin, the founder, but he has only 10.5% of the whole shares while his intimate group, including his family members, has 27.5% and, more significantly, the holding company itself 39.3%. Among the Shin’s intimate groups are included seven member companies and, at the same time, Shin still owns shares in 17 other companies, except the holding company. The transformation of the corporate governance of Lotte Group into a holding company system is still in progress. It is expected that, as time goes on, Shin’s shareholding in the holding company will be gradually strengthened and, also, into a fully-fledged system will be developed with more and more member companies.
