영문 초록

Part Ⅰ and Part Ⅱ of Commercial Law have not been amended so frequently as Part Ⅲ, corporate law. The changing business environment like information technology and globalism demands some amendments on the relatively unchanged area. And some articles needs to be amended because of its defects or ambiguity. The introduction of electronic notification of commercial registration contents and the amendment of article of negotiable instrument that is the introduction of electronic registration system are the examples of effects of IT. Some amendments of articles relating to carriage can be deemed to be the expression of globalism. Mutual Account(Kontokorrent) System is recommended to be amended because the effects to third party of mutual account isn’t distinct and commercial law of other country are different from that of us. The examples of apparent manager like head of business of the principal office or of a branch office which is expressed in that article doesn’t represent the title as manager in business practice. Therefore that expression should be amended to branch manager etc.
