영문 초록

The subject of this study involves legal issues related to consulting contract. After relief assistance of the IMF, Korean social and economical situation has changed in many points. One of them is the consulting contract of diagnosis and check and evaluation and advice etc. for the company, organization and even individual. Consulting contract is a modern type one such as leasing contract, franchise contract, know-how contract, which founder of the modern civil code had not considered. Consulting contract, however, may be a commission contract or a general contract. Main contents of consulting contract is advice service and professional service, independent service. There are two types in consulting contract. One is Management Consulting and another is Consulting Engineering. It has many standard form contract in the various field. Besides, It has been concluded as the pattern of the articles of a treaty. In the case of negligence of consultant, client has rights of compensation for damages, cancellation as the security according to § KBGB 667 or KBGB 689. In addition, legal problem of the consulting contract includes the matter of jurisdiction when the transaction has been done between the parties of two different countries.
