사립학교법에서 설립자의 학교법인 재산에 관한 법적지위

국문 초록

사립학교는 사인이 재산을 출연하여 설립한 학교법인에 의하여 설치된다. 이처럼 사립학교는 사인의 재산 출연을 본질로 하는데 일단 학교법인이 설립된 후에는 그 출연재산은 모두 학교법인의 소유가 되고 설립자는 이에 대하여 법률적 권리를 가지지 않게 된다. 그러나 학교법인이나 사립학교의 재산이 사인이 출연한 재산에 기초하고 있는 이상 헌법이 규정하고 있는 재산권을 보호하는 의미에서 재산을 출연한 설립자의 출연재산에 대한 권리를 최대한 보장하는 것이 바람직하다. 설립자는 출연한 재산에 의하여 설립된 학교법인의 이사를 선임하거나 스스로 이사가 되어 사립학교를 경영함으로써 재산권을 행사하는 것이고, 학교법인의 운영권을 양도함으로써 재산을 처분하게 된다. 사학은 그 특성상 자주성이 보장되고 공공성이 보호되어야 하는데, 사학의 공공성을 침해하지 않는 한도에서 자주성의 한 부분으로 설립자의 출연재산에 대한 재산권 행사인 학교법인 운영권이 최대한 보장되어야 한다. 그리고 재산의 처분권도 인정해주기 위하여 사학의 공공성을 해하지 않는다면 돈을 주고받는 학교법인 운영권 양도도 금지할 이유가 없다

영문 초록

Private school is established by educational foundations which is founded by founder. Even though the private school is established by the property which is donated by founder, the founder does not have any legal rights to the property. But the private property rights regulated by the constitution, so the founder`s rights on the school juristic person property should be protected as much as possible. The founder exercises his rights of property through appointment of member of board directors and operating private school, and dispose his property through transferring authority on operation of the school juristic person. So the management rights to the school juristic person should be guaranteed as much as possible and transferring the rights to manage the school juristic person should be permitted. On the other hand school has strong public concern. So the management rights can not guaranteed without any restriction. The competent authorities can cancellate the approval of the directors` inauguration, appoint provisional director, and appoint formal director. But The competent authorities have to respect the founder`s wishes when they execute them for the guarantee of the founder`s private property rights.
