국문 초록

기업가정신은 본질적으로 두 개의 얼굴을 가지고 있다. 창조적 파괴를 통한 혁신이라는 생산적 활동과 비생산적이고 파괴적인 활동이 동전의 양면처럼 존재한다. 화이트칼 라범죄는 기업가정신이 이윤의 추구에만 매몰되어 불법적인 수단까지 동원하는 경우, 궁극적으로 사회 전반에 치명적인 악영향을 미치게 됨을 보여준다. 창업기업이나 코스닥 기업에서 발생하는 화이트칼라 범죄는 기업의 존폐를 좌우하고 시장 전반에 창업과 투자를 위축시켜 벤처생태계를 황폐화시키는 심각한 문제임에도 불구하고 상대적으로 많은 연구가 이루어지지 못했다. 회계제도의 개선과 외부감사의 강화라는 측면에서 연구와 시장 규제기관의 제도적 보완 노력이 있어왔으나 코스닥 기업의 횡령과 불공정행 위는 크게 개선되지 않고 있다. 이에 본 연구는 기존의 시장 규제기관의 감시와 제도적 개선이 효과적으로 시장의 건전성을 강화하고 있는지 그 유효성을 우선 검증하고 기존의 재무적 접근과 달리 화이트칼라 범죄이론중 ‘편의이론’을 중심으로 코스닥 기업의 화이트칼라 범죄 사례들을 분석하여 그 원인과 대책에 대해 논의하였다. 분석결과 모든 사례에서 공통적으로 내부통제 시스템의 결여와 외부 공모자와 결탁한 주가조작이 발견 되었다. 이러한 환경 요인이 경영자의 경제적 탐욕과 일탈적 행동특성과 결합할 때 기업가에게 불법행위는 사익 추구를 위한 가장 편의적인 선택이 된다는 것을 보여준다. 이를 예방하기 위해서는 기업 내부의 고발자에 대한 인센티브제도, 화이트칼라 범죄 경력자의 코스닥 기업 경영진 참여 제한이 필요하고 코스닥 시장 주변의 주가조작 세력을 강력히 엄단하는 조치가 요구된다.

영문 초록

Entrepreneurship has essentially two faces. There are productive and unproductive activities of innovation through creative destruction, like two sides of a coin. Whitecollar crime shows that if entrepreneurship is buried only in pursuit of profits and uses illegal means, it will ultimately have a devastating impact on society as a whole. Although white collar crimes committed by start-ups and KOSDAQ companies are a serious problem that can affect the survival of companies and dampen business and investment across the market, there has been relatively little research done. While research and market regulators have made institutional efforts in terms of improving accounting systems and strengthening external audits, the embezzlement and unfair practices of Kosdaq companies have not improved much. Thus, the study first validated the validity of the existing monitoring and institutional improvements in the market and analyzed the “convenience of the cause” among white collar crime theories. The analysis found a lack of an internal control system and share price manipulation in connection with external conspirators in all cases. When these environmental factors combine management’s economic greed and deviant behavioral characteristics, it shows to entrepreneurs that illegal acts are the most convenient choice for pursuing private interests. To prevent this, the incentive system for whistleblowers inside companies, restrictions on their participation in the KOSDAQ company by white-collar criminals, and strict measures against stock price manipulators near the KOSDAQ market are required.
