국문 초록

한국과 일본은 개인의 자유와 자유시장 경제체제라는 공통의 이념과 목표를 가지고 있다. 양국은 앞으로도 긴밀한 협력관계를 유지해야 한다. 한국 회사법은 일본을 통하여 Illinois Business Corporation Act, 1933을 계수했다. 한국 회사법과 일본회사법은 동일한 뿌리를 두고 있다. 일본은 2005년 단행 회사법의 제정을 계기로 미국 회사법상의 제도를 대폭 도입하여 미국법과의 동질감을 크게 높인 것으로 평가할 수 있다. 한편, 현대 한국 회사법은 그 내용에 있어서 Global Standard와 매우 동떨어져 있다. 한국과 일본 양국은 자유시장경제체제를 지켜야 한다. 가장 기본이 되는 소유권의 철저한 인정과 법치주의의 바탕위에 자유시장경제를 유지해야 한다. 번영의 원천은 민주주의가 아닌 사유재산권 인정이다.

영문 초록

South Korea and Japan have the common ideology and goals of individual freedom and free market economy system. The two countries should continue to cooperate closely in the future as ever. The Companies Part of the Korean Commercial Code has accepted the Illinois Business Corporation Act, 1933, through Japan, because till 1962 the Japanese Laws were implemented in Korea. Japan had revised it’s commercial code in 1950, accepting the Illinois Business Corporation Act, 1933. Thus, we can say, the Korean Company Law and the Japanese Company Law have the same roots. In 2005, Japan has enacted an independent Company Act separated from the Japanese Commercial Code and on this opportunity Japan accepted largely the U.S. Companies Acts, especially the Delaware General Corporation Law. On the other hand, the Modern Korean Company Act is very far from the Global Standards in its contents. Both Korea and Japan should keep the free market economy system. The free market economy should be maintained on the basis of thorough recognition of the private property rights and rule of law, that are the basic rights of the people. The source of prosperity is not democracy but the recognition of private property rights
