기업 지배구조와 환경관련 정보 공시의 관련성에 관한 연구

국문 초록

환경관련 정보의 공시여부는 기업의 내․외부의 이해 관계자들 뿐만 아니라 다양한 정보이용자들과 최종 소비자들에게 매우 유용한 정보가 될 것이다. 특히 환경보호에 대한 환경관련 정보의 요구가 증가하고 이에 대한 기업의 책임이 강조되는 시점에서, 환경 관련 정보의 공시여부를 결정하는 기업지배구조와의 관련성을 실증적으로 검증할 필요가 있다고 여겨진다. 본 연구에서는 DART(금융감독원 전자공시시스템)감사보고서의 환경관련정보를 공시한 주석사항을 중심으로 환경관련 정보의 공시여부가 기업의 지배구조에 어떠한 영향을 미치는지를 제조 기업을 주된 대상으로 하는 기존의 연구와 차별화를 두고자 건설업을 주된 분석대상으로 선정하여 검증하였다. 본 연구의 분석결과, 기존의 선행연구 결과와 유사한 결과로 났다. 첫 번째로, 대주주 지분율과 외국인 지분율은 환경관련 정보 공시에 그다지 많은 영향을 미치지 못하는 것으로 나타났다. 대주주 지분율이 높으면 자발적인 공시의 필요성이나 의무감을 낮게 인식하는데 그 원인이 있으며, 아직 우리나라에 외국인 지분율이 다소 낮은 편에 속하며, 기업경영활동에 많은 영향을 미치지 못하는 데 그 원인이 있다고 볼 수 있다 두 번째로 연구가설에서 기관투자자 지분율이 높을수록 환경관련 정보를 많이 공시하고 있으며, 이를 위해서 환경경영시스템(ISO 14001)의 가입률 또한높은 것으로 나타났다. 이는 기관투자자가 대주주나 외국인투자자에 비하여 환경경영활동에 보다 높은 관심을 가지고 있으며, 적극적으로 기업의 경영활동에도 참여하고 있음을 알 수 있다. 또한 환경관련 정보 공시를 소홀함에 따른기업가치의 하락을 염려하여 환경관련 정보 공시압력을 행사하여 적극적으로 기업의 경영활동에 반영하고자 하는 노력을 많이 하고 있음을 알 수 있었다.

영문 초록

Publication of environmental information is possibly very useful for a variety of information users and end consumers as well as interested parties inside or outside company. In particular, given that we now face increasing needs for environmental information concerned with environmental conservation and demand company to take more environmental responsibilities, this study has its own implications in a sense that it intends to empirically examine possible relationships of corporate governance with the decision on publication of environmental information. Based on comments that publicly notify environmental information contained in audit reports of Data Analysis, Retrieval and Transfer System(DART, Financial Supervisory Service, Korea), this study sought to examine if and how much the publication of environmental information may have effects upon corporate governance. Overall, the results of analysis which are found to correspond reasonably to findings of conventional studies can be outlined as follows: First, it was found that majority and foreign investors equity stake ratio did not have so many effects upon publication of environmental information, because high majority equity stake ratio is associated with low awareness about necessity of or responsibility for voluntary publication; foreign investors equity stake ratio still remains relatively low in Korea; and majority or foreign investors equity stake ratio don t have so many effects upon business management activities. Second, it was found that the higher ratio of institutional investors equity stake was associated with more publications of environmental information, as predicted by original hypotheses hereof, and relatively high ratio of institutional investors joined the environmental management system(ISO 14001) to this end. This finding implies that institutional investors are more interested in environmental management activities and also more positively participate in business management activities than majority shareholders or foreign investors. In addition, it was found that all shareholders were concerned about potential depreciation of business values due to failure to publish environmental information, so that they made many efforts to positively reflect their opinions on business management activities by exerting pressure on publication of environmental information
