해양플랜트공사계약상의 계약변경조항에 대한 법적 고찰

국문 초록

최근 국내 조선소들은 노르웨이 발주자들과 해양플랜트공사계약과 관련하여 공사잔금 납입의 지연, 계약금액의 조정, 계약변경에 따른 공사대금 지급 거부, 계약 해제 등으로 인하여 많은 어려움에 직면하고 있다. 노르웨이 표준해양플랜트공사계약은 대표적인 국제거래계약으로서 계약의 준수성, 이익의 균형성, 위험분담에 대한 신의성실의 원칙 등에 근거하여 제한적으로 계약변경을 인정하고 있다. 따라서 이 논문은 노르웨이 표준해양플랜트공사계약상의 계약변경조항에 대하여 해석론적으로 검토하였고, 이를 바탕으로 주요 쟁점사항을 식별하여 개선방안을 제시하였다. 이를 토대로 국내 조선소 및 금융기관들은 노르웨이 표준해양플랜트공사계약서 및 관련 여타의 계약서간의 법적 상호 견련성에 대하여 추가적인 연구를 확대하여 조선·해양플랜트산업의 경쟁력을 확보하는데 공동으로 노력하길 기대한다.

영문 초록

Recently Korea shipyards are facing many difficulties due to the Norwegian Oil Majors in connection with the offshore plant construction, for example, the late payment of balance, coordination of the contract price, the reject of payment for the change order, termination and so on. Norwegian total contract is recognized for the international trade on the basis of the principle of good faith for the observation, the balance of the profit, risk sharing to comply with the contract. Therefore, this paper reviewed for the clause of change order in The Norwegian total contracts in a legal point and presented the way of improvement by identifying the key controversial issues based on this information. Korean shipyards and the financial institutions should collaborate to enhance a competitiveness of the shipbuilding and offshore plant industry throughout additional research on the Norwegian total contracts and the relevant legal standards contract for offshore plant.
